Creator Agreement

This Creator Agreement ("Agreement") governs your participation as a seller on the Caustic Studio marketplace. By listing any asset, game, or digital content for sale or free distribution on the marketplace, you agree to this Agreement in addition to the general Terms of Service and Privacy Policy.

This Agreement applies to all forms of marketplace activity, including asset sales, game sales, bundles, and free listings.

To sell on the Caustic Studio marketplace, you must: (a) have a verified Caustic Studio account with a confirmed email address, (b) be at least 18 years old or the age of majority in your jurisdiction, (c) provide accurate identity and tax information as required, and (d) connect a valid Stripe account for receiving payouts.

We reserve the right to deny or revoke marketplace access at our discretion, including for policy violations, legal requirements, or quality concerns.

All content listed on the marketplace must: (a) be your original work, or work for which you hold sufficient rights to distribute and license, (b) not infringe on any third-party intellectual property rights, trademarks, or copyrights, (c) not contain malware, viruses, or malicious code, and (d) comply with the Acceptable Use terms in our Terms of Service.

Prohibited content includes but is not limited to: content that infringes copyrights or trademarks, content generated entirely by AI without disclosure, content that is misleading about its functionality, content containing hate speech or illegal material, and content that violates export control laws.

You are solely responsible for ensuring you have the legal right to sell any content you list. Caustic Studio does not pre-screen marketplace listings but may remove content that violates these terms.

You set the price for your listings. Prices must be in US dollars and must be at least $0.99 for paid listings, or $0.00 for free listings.

You may change prices at any time. Price changes do not affect existing purchases — buyers who already purchased retain their license at the price they paid.

Caustic Studio reserves the right to participate in platform-wide promotional events (e.g., seasonal sales). We will notify you at least 7 days before any promotion that would discount your listings, and you may opt out of specific promotions.

Caustic Studio charges a platform commission on each paid transaction. The current commission rate is displayed on your creator dashboard and may vary by subscription tier.

In addition to the platform commission, Stripe payment processing fees apply to each transaction. These fees are deducted from the gross sale amount before your payout is calculated.

Fee structure: Gross sale − Stripe processing fee − Platform commission = Your payout.

We may change commission rates with at least 30 days' written notice. Rate changes apply to future sales only and do not affect earnings from past transactions.

Payouts are processed through Stripe Connect. You must maintain a valid, connected Stripe account to receive payouts.

Payouts are initiated on a rolling basis once your balance meets the minimum payout threshold. The minimum threshold and payout schedule are displayed on your creator dashboard.

Caustic Studio is not responsible for delays caused by Stripe, your bank, or incomplete account information. If your Stripe account is suspended or disconnected, payouts will be held until the issue is resolved.

Refunds, chargebacks, and disputed transactions will be deducted from your pending balance. If your balance is insufficient, you are responsible for repaying the deficit.

You are solely responsible for reporting and paying all taxes on income earned through the Caustic Studio marketplace, including income tax, sales tax, VAT, and any other applicable taxes in your jurisdiction.

For US-based creators: If your gross earnings exceed $600 in a calendar year, we are required to issue a Form 1099-K and report your earnings to the IRS. You must provide accurate taxpayer identification (SSN or EIN) via Stripe.

For non-US creators: You may be required to provide applicable tax documentation (e.g., W-8BEN) through Stripe. Withholding may apply based on your country's tax treaty with the United States.

Caustic Studio does not provide tax advice. Consult a qualified tax professional regarding your obligations.

When a buyer purchases your content, you grant the buyer a non-exclusive, perpetual, non-transferable license to use the content in their projects, unless you specify otherwise in your listing description.

You retain full ownership of your content. Listing on the Caustic Studio marketplace does not transfer any ownership rights to Caustic Studio or to buyers beyond the usage license.

You grant Caustic Studio a non-exclusive, worldwide, royalty-free license to host, display, promote, and distribute your content solely for the purpose of operating the marketplace. This includes displaying previews, thumbnails, and descriptions in search results, promotional materials, and platform communications.

Non-Exclusivity: You are free to sell the same content on other platforms simultaneously. Caustic Studio does not require exclusivity unless you voluntarily opt into an exclusive partnership program (if available).

Buyers may request refunds for marketplace purchases. Refund eligibility is evaluated on a case-by-case basis considering factors such as: whether the content matches its listing description, whether the buyer has downloaded the content, and the time elapsed since purchase.

If a refund is approved, the corresponding payout (minus any non-refundable processing fees) will be deducted from your balance.

For disputes between creators and buyers, Caustic Studio may mediate but is not obligated to resolve disputes. Our decision on refund eligibility is final.

You may remove your listings from the marketplace at any time. Removal does not affect licenses already granted to existing buyers — they retain access to content they have already purchased.

Caustic Studio may remove your listings without prior notice if: (a) we receive a valid DMCA takedown notice, (b) the content violates this Agreement or our Terms of Service, (c) the content poses a security risk, or (d) required by law.

If your content is removed due to a policy violation, we will notify you with the reason. You may appeal by contacting [email protected] within 14 days of removal.

If your Caustic Studio account is terminated (by you or by us), the following applies to your marketplace presence:

Active listings will be delisted from the marketplace immediately.

Existing buyers retain their licenses and access to previously purchased content.

Any pending payouts for completed sales will be processed within 30 days, provided no disputes or chargebacks are outstanding.

If termination is due to policy violations, we reserve the right to withhold pending payouts until all disputes and chargebacks are resolved.

By listing content on the marketplace, you represent and warrant that: (a) you have the legal right and authority to enter into this Agreement, (b) you own or have sufficient rights to all content you list, (c) your content does not infringe any third-party rights, (d) all information you provide (including tax information) is accurate, and (e) you will comply with all applicable laws and regulations.

Caustic Studio provides the marketplace platform "as is." We do not guarantee any level of sales, visibility, or revenue. We are not liable for lost sales due to platform downtime, search ranking changes, or marketplace policy updates.

Our total liability to you for any claims arising from this Agreement shall not exceed the total payouts made to you in the 12 months preceding the claim.

We may update this Creator Agreement from time to time. We will notify active marketplace creators via email at least 14 days before material changes take effect. Continued listing of content after the effective date constitutes acceptance of the updated terms.
